Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and BORIS JOVANETIĆ PR RAČUNARSKO PROGRAMIRANJE BOKA DEVELOPMENT, operating as Rowporter (“Rowporter,” “we,” “us,” or “our”).

By accessing or using Rowporter, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.


1. Definitions

  • “Service” means the Rowporter website (rowporter.com), API, embeddable import widget, dashboard, documentation, and all related services and features.
  • “Subscription” means a paid plan that provides access to premium features of the Service.
  • “Template” means a configuration you create that defines the columns, validation rules, and settings for a particular import workflow.
  • “Imported Data” means the data contained in CSV or Excel files that are processed through the Service.
  • “Webhook” means the HTTP endpoint you designate to receive validated import data.
  • “End User” means any individual who interacts with the Rowporter widget embedded in your application.

2. Account Registration

2.1 Account Creation

To access certain features of the Service, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

2.2 Account Requirements

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2.3 One Account Per Person

Each account is for a single user or organization. You may not share your account credentials with others or allow multiple people to use the same account, except as permitted by your Subscription plan (e.g., team accounts).


3. Description of Service

Rowporter provides an embeddable widget and API for importing CSV and Excel files into web applications. The Service includes:

  • Embeddable Import Widget: A customizable widget you can embed in your application to enable your End Users to import data
  • Client-Side File Parsing: All file parsing occurs in the End User's browser; raw files are never uploaded to our servers
  • Column Mapping: Automatic and manual column matching with 315+ built-in synonyms across 10 languages
  • Data Validation: Email, phone, URL, date, regex, and custom JavaScript validation rules
  • Webhook Delivery: Validated data delivered to your designated endpoint as clean JSON
  • Dashboard: A web interface for managing templates, viewing import history, and configuring settings
  • API Access: Programmatic access to create templates, retrieve import data, and manage your account

4. Subscription Plans and Billing

4.1 Free Plan

We offer a Free plan with limited features and usage quotas. The Free plan is provided “as is” and may be modified or discontinued at any time.

4.2 Paid Subscriptions

Paid plans (“Subscriptions”) provide access to additional features and higher usage limits. By subscribing to a paid plan, you agree to the following:

  • Billing Cycle: Subscriptions are billed monthly in advance.
  • Automatic Renewal: Your Subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
  • Payment Method: You authorize us (via our payment processor, Paddle) to charge your payment method for all applicable fees.
  • Price Changes: We may change Subscription prices with at least 30 days' advance notice. Price changes take effect at the start of your next billing cycle following the notice period.

4.3 Usage Limits

Each plan has specific limits on:

  • Number of imports per month
  • Maximum rows per import
  • Number of templates
  • Maximum file size

If you exceed your plan's limits, we may:

  • Temporarily restrict your access to certain features
  • Prompt you to upgrade to a higher plan
  • Charge overage fees (if applicable to your plan)

4.4 Taxes

All fees are exclusive of applicable taxes (VAT, GST, sales tax, etc.). You are responsible for paying all taxes associated with your Subscription. Our payment processor (Paddle) handles tax calculation and collection as the Merchant of Record.

4.5 Failed Payments

If a payment fails, we will:

  • Attempt to charge your payment method again
  • Notify you of the failed payment
  • Provide a grace period to update your payment information

If payment is not received within the grace period, we may suspend or terminate your access to paid features.


5. Cancellation and Refunds

5.1 Cancellation by You

You may cancel your Subscription at any time through your dashboard under Settings → Billing or by contacting support@rowporter.com.

Upon cancellation:

  • Your Subscription will remain active until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • Your account will revert to the Free plan
  • Your data and templates will be retained for 30 days, after which they may be deleted

5.2 Refund Policy

We offer a 14-day money-back guarantee on all paid Subscriptions:

  • You may request a full refund within 14 days of your initial purchase or any renewal
  • No questions asked — simply email support@rowporter.com with the subject “Refund Request”
  • Refunds are processed within 5-10 business days to your original payment method

After the 14-day period, Subscriptions are non-refundable except as required by applicable law.

5.3 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms
  • You engage in fraudulent, illegal, or abusive activity
  • Your account is used for purposes that violate applicable law
  • Required to comply with legal obligations

If we terminate your account for reasons other than breach, we will provide a prorated refund for any prepaid, unused Subscription fees.


6. Acceptable Use

6.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only to:

  • Import data that you have the right to process
  • Deliver imported data to systems you control or have authorization to access
  • Build applications and workflows that comply with applicable laws

6.2 Prohibited Activities

You agree NOT to:

Illegal or Harmful Activities:

  • Use the Service for any illegal purpose or to violate any laws
  • Process data you do not have the right to collect or process
  • Transmit malicious code, viruses, or harmful data
  • Import data containing child sexual abuse material (CSAM)
  • Facilitate fraud, money laundering, or terrorism financing

Security Violations:

  • Attempt to gain unauthorized access to the Service or its systems
  • Probe, scan, or test the vulnerability of the Service without authorization
  • Interfere with or disrupt the Service, servers, or networks
  • Circumvent any security measures or access controls
  • Use the Service to attack or harm third-party systems

Service Abuse:

  • Exceed rate limits or usage quotas through technical circumvention
  • Resell, redistribute, or sublicense the Service without authorization
  • Use automated means to access the Service in violation of these Terms
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices or labels

Harmful Content:

  • Import or transmit content that infringes intellectual property rights
  • Process data in violation of data protection laws (GDPR, CCPA, etc.)
  • Use the Service to harass, abuse, or harm others

6.3 Enforcement

We reserve the right to investigate and take appropriate action against any violation of this section, including:

  • Removing or disabling access to content
  • Suspending or terminating accounts
  • Reporting violations to law enforcement
  • Pursuing legal remedies

7. Intellectual Property

7.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Rowporter and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

This includes:

  • The Rowporter name, logo, and branding
  • The Service's user interface, design, and visual elements
  • Our proprietary algorithms, code, and technology
  • Documentation, templates, and educational content

7.2 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

This license does NOT include the right to:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer, disassemble, or attempt to extract source code
  • Remove or alter any proprietary notices or labels
  • Sublicense, sell, or transfer your rights to third parties
  • Use the Service to build a competing product

7.3 Your Content and Data

You retain all ownership rights to:

  • Your Templates and configurations
  • Your Imported Data
  • Any content you upload to the Service

By using the Service, you grant us a limited license to process your content solely to provide the Service to you. We do not claim any ownership interest in your data.

7.4 Feedback

If you provide us with feedback, suggestions, or ideas (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Service without any obligation to you.


8. Data Processing and Privacy

8.1 Your Responsibilities

When you use Rowporter to process data on behalf of your End Users, you act as the Data Controller and we act as the Data Processor. As the Controller, you are responsible for:

  • Ensuring you have a lawful basis to collect and process End User data
  • Providing appropriate privacy notices to your End Users
  • Obtaining any necessary consents
  • Responding to data subject access requests
  • Ensuring the data you import complies with applicable data protection laws

8.2 Our Commitments

As the Data Processor, we commit to:

  • Process Imported Data only according to your documented instructions
  • Implement appropriate technical and organizational security measures
  • Notify you of data breaches within 48 hours of discovery
  • Assist you in responding to data subject requests
  • Delete or return your data upon termination of the Service

8.3 Privacy Policy

Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.4 Data Processing Agreement

For Customers who require a formal Data Processing Agreement (DPA) for GDPR compliance, please contact support@rowporter.com.


9. Third-Party Services

9.1 Payment Processing

Payments are processed by Paddle (Paddle.com Market Limited), which acts as the Merchant of Record for transactions. By making a purchase, you also agree to Paddle's Terms of Service and Privacy Policy.

9.2 Your Webhook Endpoints

The Service delivers validated data to webhook endpoints you designate. We are not responsible for:

  • The availability or performance of your webhook endpoints
  • How you process or store data received via webhooks
  • Any issues arising from misconfigured webhooks

9.3 Third-Party Integrations

The Service may integrate with or link to third-party services. We do not endorse and are not responsible for any third-party services, and your use of them is at your own risk.


10. Disclaimers

10.1 “As Is” Provision

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT

10.2 No Guarantee of Availability

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements

10.3 Client-Side Processing

Because file parsing occurs in the End User's browser, performance may vary based on the End User's device, browser, and network conditions. We do not guarantee specific processing speeds or capabilities.


11. Limitation of Liability

11.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ROWPORTER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COST OF PROCUREMENT OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM INTERRUPTION OF USE OR LOSS OF DATA

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(a) THE TOTAL AMOUNT PAID BY YOU TO ROWPORTER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR

(b) ONE HUNDRED EUROS (€100)

11.3 Exceptions

The limitations in this Section 11 do not apply to:

  • Your breach of Section 6 (Acceptable Use)
  • Your payment obligations under these Terms
  • Either party's indemnification obligations
  • Liability that cannot be excluded or limited under applicable law

11.4 Basis of the Bargain

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.


12. Indemnification

12.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Rowporter and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Your Imported Data or any content you process through the Service
  • Any claim by your End Users related to your use of the Service

12.2 Procedure

We will promptly notify you of any claim subject to indemnification and provide reasonable cooperation in the defense. You may not settle any claim without our prior written consent if the settlement would impose any obligation on us or admit liability on our behalf.


13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law principles.

13.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@rowporter.com and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved quickly and amicably through direct communication.

13.3 Binding Arbitration

If we cannot resolve the dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the International Chamber of Commerce (ICC) or a mutually agreed arbitration institution.

Arbitration Terms:

  • Seat of Arbitration: Belgrade, Republic of Serbia
  • Language: English
  • Number of Arbitrators: One (1)
  • Rules: ICC Arbitration Rules (or equivalent)

13.4 Exceptions to Arbitration

Notwithstanding the above, either party may:

  • Seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights
  • Bring claims in small claims court if the claim qualifies

13.5 Class Action Waiver

YOU AND ROWPORTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.


14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rowporter regarding the Service and supersede all prior agreements and understandings.

14.2 Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Updating the “Last Updated” date
  • Sending an email to your registered address (for material changes)

Your continued use of the Service after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your Subscription.

14.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

14.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.5 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

14.6 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and assigns.

14.7 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, labor disputes, government actions, power failures, internet outages, or third-party service failures.

14.8 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to support@rowporter.com. Notices are deemed received when sent (if by email) or when delivered (if by other means).

14.9 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Rowporter. Neither party has the authority to bind the other.

14.10 Export Compliance

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in a country subject to embargo or designated as a “terrorist supporting” country, and you are not on any prohibited party list.
